Engagement Agreement

Payment Terms

  • Monthly Recurring Services are renewed every 6 months. Cancellation of the agreement is not possible before the first 6 months. For the Cancellation of this Agreement, ThinkTech has to be notified 1 month before the Cancellation Date.
  • This is a 6 month contract, with automatic renewal on month to month terms.
  • For any recurring monthly payments, the client will be required to sign up for a credit card authorization form or approve a pre-authorized debit withdrawal.
  • The client shall pay all the monthly fees at the start of every month. If any payment is not made as prior agreed terms, we reserve the right to cease further work happening on your website.
  • Any fees remaining after the completed work will be invoiced accordingly. All payments are non-refundable unless stated otherwise.

Project completion and warranty

  • Project will be considered completed when it is moved to a live production hosting environment.
  • ThinkTech holds no responsibility for the perception of the final content.

Project Communication and Delays

  • ThinkTech Software’s performance is dependent on your support and timely response to our queries. We expect the client to respond to our emails, questions and requests related to the project within three business days. For example, ThinkTech Software typically sends out content for the client’s review to obtain suggestions, feedback and concerns before launching the content in a live platform. ThinkTech will wait for a maximum of 5 business days for the client’s response. If we do not obtain a response from the client, we will be required to proceed due to the time sensitive nature of the work.
  • ThinkTech Software cannot be held responsible for project delays or project derailment due to the lack or delay of communication from the client. In such cases, ThinkTech reserves the right to terminate this contract citing lack of proper communication and/or communication delays seriously impacting project performance. ThinkTech will send two reminders to respond to the communication before proceeding with the termination notice of the contract. The client is liable to remit payment for the remaining duration of the contract in the event of an early termination.

Project Environment access

  • ThinkTech Software may require access to the project environment related accounts such Instagram & Facebook access, analytics etc. to begin the project. The client shall provide the required access to ThinkTech Software in a timely manner upon project initiation.

Content and Videography

  • The client cannot hire the contractors or vendors we use independently from us.

Additional Cost Allowances

  • Additional services or changes outside the scope of 1 edit request from the client per quarter will be quoted on an as-needed basis at a base rate of $125 CAD per hour, with a 30-minute minimum.
